Terms of service.

Northbench operates as three sequenced offers — paid audit, fixed-fee implementation, and a recurring monthly retainer. This page describes what each tier covers, payment and refund basics for the audit deposit, and the ownership clause for engagement work product.

The three offerings.

One workflow, three phases. Each tier is independent — you can stop after any of them — but they are designed to sequence: an audit that scopes the work, a fixed-fee build that delivers it, and a retainer that runs it.

Tier 1

Paid audit.

Fixed scope, fixed price. A two-hundred-and-fifty-dollar deposit, refundable in full against an implementation booked within sixty days (see refund clause below).

Deliverable

A written brief on one chosen workflow in your vertical. Two-week turnaround. Human-reviewed.

What's not included

  • · Implementation work.
  • · Ongoing maintenance.
  • · Custom software development during the audit phase.

Tier 2

Fixed-fee implementation.

Scope agreed up-front against the audit brief. Priced as a fixed fee (concrete numbers belong on the /pricing page, not in this document).

What's included

Building the chosen workflow against the documented scope.

What's not included

  • · Scope creep without a signed change order.
  • · Ongoing retainer duties (those are tier 3).
  • · Ad-hoc support outside the engagement window.

Tier 3

Recurring monthly retainer.

Managed operation of the implemented workflow(s). Scope equals the workflows delivered during the implementation, plus later paid-scope expansions.

What's included

  • · Monitoring.
  • · The monthly outcome report.
  • · The agreed break / fix response window.

What's not included

  • · New workflow builds (book a paid-scope expansion for those).
  • · Third-party SaaS license costs (passed through at cost unless explicitly bundled in writing).
  • · Internal customer-success SLAs inside the customer's own stack.

Payment & refund basics.

Four clauses that apply to every engagement, in plain language.

  • Audit deposit. Two hundred and fifty US dollars, charged via Stripe at the moment the intake form is submitted.
  • Refund window. The deposit is refundable in full against a paid implementation booked within sixty days of the deposit clearing.
  • Outside the window.After the sixty-day window the deposit is refundable at Northbench's discretion. There is no automatic refund and no "cooling-off" period after the window.
  • Implementation & retainer fees. Invoiced separately against the engagement SOW. Payment terms (e.g. net-15) live on the SOW, not this page.

Work-product ownership.

Work product produced during an engagement — including the audit brief, implementation artifacts (configs, code, runbooks, prompts), and any deliverable listed on the engagement SOW — transfers to the client on full payment of the relevant invoice. Until that invoice is paid in full, Northbench retains ownership and grants the client a non-exclusive license to use the deliverables for the purpose for which they were commissioned.

Client responsibilities.

The client is responsible for the accuracy of the inputs they provide — intake form answers, contact messages, anything uploaded to the client dashboard once it ships. Northbench is not liable for decisions made on the basis of client-supplied data.

Liability cap.

Aggregate liability under any engagement is capped at the fees Northbench received from that client in the twelve months preceding the event giving rise to the claim. This is a starting position; the engagement SOW may modify it in writing.

Nothing on this page is legal advice. If your engagement needs specific contractual terms, raise them on the kickoff call and we'll reflect them in the SOW.

Governing law & disputes.

Each engagement is governed by the laws of the jurisdiction Northbench operates in at the time the engagement SOW is signed. Disputes are first attempted in good-faith email between the named contacts on each side; if that fails, escalation follows the SOW. This page stays jurisdiction-neutral — the SOW can override.

Changes to these terms.

We'll update this page when these terms change. The date at the bottom of the page is the effective date; for active engagements, the engagement SOW controls regardless of any later change here.
